  • Introduction Impact Fund Denmark (IFDK) hereby invites qualified service providers to submit proposals for the provision of finalising the establishment, compliance, and employer-related services in connection with the set up of new regional offices in Lagos, Nigeria, and Johannesburg, South Africa. 2. Organisational Background • Impact Fund Denmark (IFDK) is an impact investment fund fully owned by the Danish Ministry of Foreign Affairs. The fund invests in businesses in developing countries and will, towards 2030, double its capital under management with a strong emphasis on Africa. • IFDK is headquartered in Copenhagen and currently operates regional offices in Nairobi (Kenya), Delhi (India), Kyiv (Ukraine), as well as several smaller representations worldwide. • As part of the 2030 strategy and capital plan, IFDK is expanding its geographic footprint in Africa by establishing hubs in Eastern, Southern, and Western Africa. • Throughout 2025, an internal project team has worked on establishing new regional offices in Lagos, Nigeria, and Johannesburg, South Africa. Legal entities have been registered in both Nigeria and South Africa, and local teams have been recruited and commenced work. 3. Current Status • Legal entities and necessary business permits have been registered in both countries, and local teams have been recruited. • Each local team consists of 4–5 senior investment professionals representing IFDK’s key investment sectors. Team sizes are expected to grow to approximately 6–8 employees over time. • Short-term secondments (typically 5 months) from other IFDK offices, including Denmark and India, are also anticipated, along with multiple business trips of various lengths. • Local employees are currently engaged through an external payroll provider, but IFDK intends to transition to local employment contracts under the newly established entities. • To support this transition, IFDK requires assistance to ensure full compliance with tax, financial, and employer obligations. 4. Scope of Services Requested The selected vendor is expected to provide the following services regarding both local offices: 4a) Tax and Regulatory Compliance • Perform alle necessary secondary tax and employment registrations and other relating requirements • Advise on compliance requirements and ongoing regulatory obligations 4b) Employment and HR Compliance • Review, workshop, and draft local employment contracts, including advisory to ensure compliance and market competitiveness • Advise on pension schemes, insurance, and introduction to relevant local providers 4c) Immigration Services • Immigration support, including processing of work visas for secondees (typically up to 5 months, possibly with few longer assignments) 4d) Financial and Tax Reporting • Support with preparation, auditing, and filing of statutory financial statements and tax filings in accordance with local regulations • VAT compliance and registrations • Note: IFDK will maintain responsibility for internal bookkeeping and accounting 4e) Expatriate services: • Expat tax returns and tax advisory – likely on an ad hoc basis as needed 5. Vendor Requirements • A single vendor capable of delivering the full scope of services across both countries • One consolidated contract covering Nigeria and South Africa • A provider with established local presence in both jurisdictions • Demonstrated experience supporting international organisations in market entry and local compliance • Ability to act as trusted advisor and proactively guide IFDK on all required filings and regulatory actions • Capacity to support initial set‑up as well as first‑year operations, and to advise on potential future insourcing for cost efficiency • Presence in Kenya and Denmark is considered an advantage 6. Financial Proposal • Bidders shall provide a detailed price quote covering all requested services • Indicative price range of 250.000 – 400.000 DKK – this indication should be considered a guestimate as no budget has been aligned yet 7.
